Terms of Use

 

These Terms of Use (“Terms of Use”), for the purpose of using CasTech Tokyo (“Our Company”)’ s service “CasTech”, stipulates: the matters with which are to be complied by the Registered User; and the rights and obligations of Our Company and the Registered User. Our Company would like you, who use the said service as a Registered User, to read the full text before agreeing with the Terms of Use.

 

Article 1.  Objectives

  1. The purpose of Terms of Use is to stipulate the rights and obligations concerning the use of Service between Our Company and Registered User.

  2. The Terms of Use shall be applied to any and all the relations concerning the use of Service between Our Company and Registered User.

  3. The guidelines, precautions and other rules concerning the use of Service, all of which Our Company separately develops  (“Rules”, or, when revised by Our Company due to any additional service or other reasons, the revised guidelines, precautions and rules) shall constitute a part of the Terms of Use. For clarification, if the provisions of the Terms of Use are inconsistent with those of the Rules, etc., the Rules, etc. shall prevail.

  4. For clarification, if the provisions of the Terms of Use are inconsistent with those of Individual Agreement, Individual Agreement shall prevail.

 

Article 2.  Definitions


Definitions of the terms used in the Terms of Use shall be as follows.

  1. Service
    A cloud sourcing service provided by using the System, for registration and browsing of information of talents, models, and artists (“Models”), and matching support, in which the Recruiting User use the name, portrait, creation, and other rights of Models for its contents created by the Recruiting User, including advertisements and video programs. However, performance of Individual Agreement shall not be regarded as part of the Service.

  2. System
    The website and application of the casting system "CasTech" operated by Our Company.

  3. Recruiting User
    Corporations or individuals registered as users of Service based on Article 3 for ordering and requesting Job Recruitment stipulated in Article 9.1.

  4. Performing User
    Corporations or individuals registered as users of Service based on Article 3 for receiving or accepting Job Recruitment stipulated in Article 9.1. Performing User includes both Models and their management agent.

  5. Model Member
    Models that exclusively belong to the Performing User, are outsourcing their management to Performing User, or are employees of the Performing User.

  6. Registered User
    Recruiting User and Performing User are collectively referred to as “Registered User”.

  7. Registered Information
    All information provided to Our Company by Registered User based on our specifications necessary for user registration, including but not limited to Personal Information.

  8. Profile Information
    Name, title, portrait, images, videos, service account of social network services (including but not limited to Twitter and Instagram) and all other information related to the Performing User and Model Member registered by the Performing User or individual Model Member for the usage of this Service, including but not limited to Personal Information.

  9. Individual Casting Agreement
    The agreement between Recruiting User and Our Company based on Article 10, Paragraph 1 of Terms of Use. The details of the agreement are defined by Terms of Use, the Rules, the Job Recruitment, and content of any agreements between Recruiting User and Our Company.

  10. Individual Performance Agreement
    The agreement between the Performing User and the Recruiting User or Our Company based on Article 10, Paragraph 2 of Terms of Use. The details of the agreement are defined by Terms of Use, the Rules, and any Individual Agreements between the Performing User and the Recruiting User or Our Company.

  11. Individual Agreement
    Individual Casting Agreement and Individual Performance Agreement are collectively referred to as “Individual Agreement”.

  12. Personal information
    Personal information defined in Article 2, Paragraph 1 of “Personal Information Protection Law”.

 

Article 3.  User Registration

  1. An applicant who intends to use the Service (“Registration Applicant”) may apply to Our Company for registering the Service (“User Registration”).  The Registration Applicant shall agree to comply with all the provisions of the Terms of Use, identifying the Requesting User or the Performing User and providing Our Company with the Registered Information.

  2. Application for User Registration shall be obliged to be made by the individuals or legal entities using the Service. In applying for User Registration, Registration Applicant shall be obliged to provide the true, accurate and latest information for Our Company.

  3. Upon the completion of User Registration application, e-mail verification by an automatic email and Registration Applicant’s logged in to the Service for the first time by entering the user ID and password. Registration Applicant shall be deemed to agree with Terms of Use, and, all rights and obligations based on Terms of Use shall then be effective.

 

Article 4.  Decline & Cancellation of User Registration

  1. Our Company reserves the right to decline or cancel User Registration without any advance notice within one month after the first login as described in Article 3, Paragraph 3 when Registration Applicant (including those who automatically completed the registration process with ID and password issued by our System) is involved in any of the followings that we consider that the party is not qualified to use our Service. The decision to decline or cancel the registration is at the discretion of Our Company. Our Company is not obliged to disclose or explain any reasons to the Registration Applicant or Registered User and no objection shall be made, and no damage compensation shall be claimed to Our Company.

    1. if the Registration Applicant does not comply with the Terms of Use in using the Service, or threatens not to comply with it;

    2. if Our Company determines that there is any technological or operational problem;

    3. if the Registration Applicant has had suspended the provision of Service, or has had terminated all or part of Individual Agreement by Our Company before;

    4. if the Registration Applicant actually defaults on its obligations toward Our Company (including those other than obligations under the Terms of Use) or threatens to do so;

    5. the registration or the description on the necessary documents submitted to Our Company contains false or incorrect information;

    6. if Our Company determines that the Registration Applicant: is an organized crime group, a member of organized crime group, right-wing organization, anti-social forces or other equivalent persons (collectively, “Anti-social Forces”); or has any connection or relationship with Anti-social Forces such as cooperation or involvement in maintaining, operating or managing the Anti-social Forces by funding etc.; or

    7. other situations that Our Company determines to be inappropriate.

  2. Any person whose registration is refused or cancelled in accordance with the preceding paragraph shall lose all privileges of use as Registered User.

  3. Notwithstanding the preceding paragraph, if the person whose registration has been refused or cancelled is already a party to an existing Individual Agreement, the other party to the Individual Agreement may, at its discretion, decide whether or not to keep the Individual Agreement in effect.

 

 Article 5.  Use of Service

  1. Based on this Terms of Use, Registered User may use the Service with compliance to our specifications and to the extent that they do not violate the Terms of Use.

  2. Our Company grants Registered User the non-exclusive license to execute, display and use the Service pursuant to the Terms of Use on Registered User’s terminal.

  3. The communication environment etc. of Registered User, including the terminal, software, other devices, communication line or others, which are required to use the Service, shall be prepared and maintained at the Registered User’s own risk and expenses.

  4. Registered User shall, according to its own communication environment etc. for Service and at its own risk and expenses, take the security measures such as prevention against infection with computer-virus, unauthorized access and information leakage.

  5. The expenses incurred through the use of Service, such as correspondence fees, shall be borne by Registered User.

  6. Among the current functions of the Service, Our Company may charge the fee in the future for the Service which is currently provided to Registered User for free, without Our Company’s prior notification.

 

Article 6.  ID & Password

  1. Registered User is entirely obliged to the management of the ID assigned for this Service (including all additional ID, such as “Recruiting ID” or “Performer ID”, to be accordingly issued by Our Company to Registered User and their related parties upon application from Registered Users; hereinafter “Additional ID”), and password (“ID & Password”).

  2. Any conduct using Registered User’s ID & Password and its result shall be deemed attributable to Registered User who is allocated the said ID & Password, and the Registered User shall be liable for any and all the said conducts and their result.

  3. Registered User shall be liable for any damage arising from the inadequate management, misuse, or use by a third party of his/her ID & Password, and Our company shall not be held liable in any way whatsoever for any such damage.

  4. If the Registered User finds that: there is a theft or loss of ID & Password;  they forgot their own ID & Password; or their ID & Password is used by a third party, then the Registered User shall inform Our company of the above immediately and obey Our Company’s instruction, if any.

 

Article 7.  Registration, Change, Deletion of the Registered Information

  1. Registered User shall register the true and accurate information concerning all the items of the Registered Information and/or Profile Information, and shall not register any false information. If the Registered Information and/or Profile Information is changed or an error is discovered in it, Registered User shall immediately notify Our Company of such change or error and revise it to the latest and accurate information.

  2. Our Company shall, as considered necessary, be entitled to confirm the Registered Information and/or Profile Information with Registered User by email or others, and the Registered User shall sincerely respond to the said confirmation.

  3. Our Company shall be entitled to change or delete the Registered Information and/or Profile Information without consent of Registered User in the event that Our Company determines that any of the following items are applicable:

    1. Registered User has, concerning the Registered Information and/or Profile Information, conducted the Prohibited Activities stipulated in Article 15 or Article 18;

    2. The Registered Information and/or Profile Information is inconsistent with the fact; or

    3. The Registered Information is inappropriate in light of the purpose of the Service;

  4. Our Company shall not be liable for any detriment or damage incurred to Registered User, which arises from revision or deletion under the foregoing Article 7.3.

 

Article 8.  Rights concerning the Registered Information

  1. Registered User shall permit Our Company to use (including, but not limited to, reproducing, modifying, compiling, distributing, publicating, offering to other Registered Users) the Registered Information and/or Profile Information at no charge, to the extent necessary for Our Company to provide the Service.

  2. In the case when Performing User and Model Member registered service account of social network services (including but not limited to Twitter and Instagram) in Profile Information, such Performing User (and its Model Member) shall deemed to permit Our Company to acquire and use any and all analytics data, etc. through the analytics function provided by each social network services.

  3. Our Company may use, without charge, the use of the Service by Registered Users and Individual Agreement (limited to performances based on Individual Agreement that have already been performed and announced) for the purpose of promoting and advertising the Service.

  4. In the case of the foregoing Article 8.1 through 8.3, Registered User shall not exercise the moral rights of author or any other similar rights whatsoever against Our Company or any third party designated by Our Company.

 

Article 9.  Recruitment Registration

  1. Recruiting User may, in the method prescribed by Our Company, register the job recruitment (“the Job Recruitment”, any and all the entertainment business including appearance in movies, dramas, TV, radio, commercials, etc. or influencer marketing).

  2. In registering the Job Recruitment, Recruiting User shall clearly describe the items directed by Our Company and others including the contents and type of work, implementation requirements, qualification, and the terms of agreements in recruiting form.

  3. Recruiting User shall not register the Job Recruitment such as:

    1. the Job Recruitment which is to conclude the employment agreement, such as the recruitment of Recruiting User’s employee;

    2. the Job Recruitment which Our Company determines to breach laws, regulations or public policy; or

    3. the Job Recruitment which Our Company determines to be inappropriate in consideration of the purpose of the Service.

  4. Our Company shall approve the Job Recruitment by the Recruiting User on this System if Our Company finds that there is no problem with the contents of the Job Recruitment by reviewing such to see whether it complies with the Terms of Use, whether it contains inappropriate contents, and the prospect of capability of disclosing the information of the Performing User by the date and time requested by the Recruiting User in advance. Registered User is acknowledged that in case of Direct Agreement, such reviewing and approving process by Our Company may be excluded, and no disputes nor damage compensation shall be made against Our Company in such cases.

  5. Notwithstanding foregoing Article 9.4, Recruiting User is acknowledged with the possibility of delay of the approval of the Job Recruitment, if Our Company may not be able to process the reviewing in the event of unavoidable circumstances, such as when a large volume of reviewing work to be processed, and no disputes nor damage compensation shall be made in such case.

  6. In the event that Our Company determines the Recruiting User’s request for work to be inappropriate (such as breach or the Terms of Use), Our Company shall, without any responsibility, be entitled to withhold or dissolve the said request. In the case of this Article 9.6, Recruiting User shall amend the contents or the Job Recruitment in accordance with Our Company’s instruction and the foregoing Articles 9.1 through 9.5 shall be applied to the amended Job Recruitment.

 

Article 10.  Validity of Individual Casting & Individual Performance Agreements

  1. When Our Company approves the Job Recruitment registered by the Recruiting User on this System based on foregoing Article 9.4, an Individual Casting Agreement shall be established between the Recruiting User and Our Company; however, Recruiting User  can choose to make an agreement directly with Performing User (hereinafter known as "Direct Agreement”) and in such case, no Individual Casting Agreement shall be made.

  2. Performing User shall follow the procedures below when applying for any Job Recruitment approved based on foregoing Article 9.4 and entering into a contract.

    1. When Recruiting User and Our Company are to contract an Individual Casting Agreement;

      1. Performing User shall apply to the Job Recruitment on our System after confirming its details and conditions.

      2. Our Company shall confirm all application details from the Performing User and release information of the Performing User related to such application (including but not limited to Profile Information) to the Recruiting User.

      3. Recruiting User shall determine the Performing User and Model Member.

      4. Our Company shall approve such determination described in the foregoing Article 10.2.1.3. on this System.

      5. When Our Company notifies the Performing User the result of such determination described in the foregoing Article 10.2.1.3, an Individual Performance Agreement is thus effective between Our Company and the Performing User.

    2. When Recruiting User and Our Company are to contract a Direct Agreement;

      1. Performing User should apply to the Job Recruitment on our System after confirming its details and conditions.

      2. Recruiting User shall determine the Performing User and Model Member.

      3. When Recruiting User notifies the Performing User the result of such determination described in the foregoing Article 10.2.2.2, an Individual Performance Agreement is thus effective between the two parties.

    3. Neither parties are allowed to cancel any confirmed Individual Casting Agreement and/or Individual Performance Agreement described in the foregoing Articles 10.2.1 and 10.2.2.

    4. Individual Casting Agreement and Individual Performance Agreement are based on the conditions registered as the Job Recruitment and provided to the Performing User on our System. Recruiting User, Performing User, Our Company and other related parties may execute other agreements to clarify, revise, or amend the entire agreement or part of them with consent of all parties, and in such case, provisions of such other agreement shall prevail.

 

Article 11.  Compensation

 

  1. Recruiting User is obliged to pay the System usage fee to Our Company when Recruiting User registers the Job Recruitment in accordance with Article 9 and an Individual Casting Agreement or an Individual Performance Agreement is effective. Regarding the System usage fee, Our Company shall attain the consent from the Recruiting User by submitting the details in a written form (including an e-form such as in email) at the time of registering the Job Recruitment.

  2. In addition to the preceding paragraph, Recruiting User is also obliged to pay a casting administrative fee to Our Company upon any effective Individual Casting Agreement. The payment to the Performing User based on Individual Performance Agreement is included in this administrative fee.

  3. In accordance with the preceding paragraph, Recruiting User shall pay Our Company the compensation equivalent to the total budget (the “Total Budget”) which is calculated under the conditions in the request form on the Website filled by the Recruiting User at the time of registering the Job Recruitment; however, the amount to be paid may change under written agreement between the Recruiting User and Our Company.

  4. The invoice for the casting administrative fee for Recruiting User is issued by the way of downloading from the System.

  5. Recruiting User shall pay the amount described in foregoing Article 11.1 through 11.3 to Our Company by transferring to a specified bank account by the procedure separately designated by Our Company. All transaction fees shall be incurred by Recruiting User.

  6. Regarding the Individual Performance Agreement described in foregoing Article 10.2.1, Our Company shall pay the “Unit price” specified in the Job Recruitment to the Performing User. Our company reserves the right to change the amount with a written consent from Performing User.

  7. Our Company is obliged to pay the amount described in the preceding paragraph before the last day of the subsequent month after receiving the payment transaction from Recruiting User described in foregoing Article 11.5 to the bank account designated by Performing User. Transaction fees shall be incurred by Our Company.

  8. In the case of Individual Casting Agreement, no direct contact or negotiation shall be made, and not any consideration (including but not limited to the unit price described in foregoing Article 11.6) shall be paid or received directly between the Recruiting User and Performing User.

  9. Regarding the Individual Performance Agreement described in foregoing Article 10.2.2, payment amount and method shall be specified on Individual Performance Agreement and both Recruiting User and Performing User shall comply it; however, that details may be changed with a written consent of both parties.

  10. In the case of Direct Agreement described in foregoing Article 10.2.2, Recruiting User and Performing User may contact each other directly on this System; however, not any consideration shall be paid or received directly between the Recruiting User and Performing User.

  11. Other than those stipulated in this Article 11, the details concerning the compensation shall be separately determined by Our Company.

Article 12.   Our Company’s Obligation and Responsibility

  1. Our Company does not guarantee Recruiting User the formation of any effective agreements with Performing User.

  2. Our Company will not provide any guarantee concerning the integrity, accuracy, usability, etc. of the information provided on the Service by Registered User.

  3. In no event shall Our Company be liable to Registered User or related parties such as customers of Registered User for any damages unless with willful misconduct or gross negligence of Our Company. Even when Our Company is liable, the liability shall be limited to the direct loss or damage for the reasons attributable to Our Company.

  4. Our Company will not guarantee that: the Website contains no errors or other faults; the virus program or other harmful programs are not contained in the server, etc.; and no defect is contained in other infrastructure or System for provision of the Service.

 

Article 13.   Obligations and Responsibilities of Registered User

  1. Registered User shall use the Service at their own risk, bearing any and all the responsibilities concerning the use of the Service.

  2. Registered User shall warrant that it owns the authority to properly and duly conduct the registration process and it complies with each provision of the Terms of Use.

  3. When registering the information of any third parties on the System, Registered User shall obtain the third parties’ approval or permission in advance.

  4. Registered User shall, in using the Service, warrant that the actions and their results caused by the use of Service: are consistent with laws, regulations and the Terms of Use; and do not infringe the rights of third parties including Our Company and the other party.

  5. Registered User shall, at their own risk and expenses, fulfill the obligations arising from Individual Agreement

  6. Registered User shall settle at their own expenses and responsibilities against any disputes with the other party or third parties, which are caused by any and all the actions in the course of using the Registered Information and/or Profile Information or the Service.

  7. Registered User shall make all other users of the Service with Additional IDs comply with the regulations of this Service specified in this Terms of Use, including the duty of confidentiality. In the event that the user of Additional ID violates Terms of Use, the Registered User shall be liable for violating Terms of Use in the same manner as if the Registered User violated the Terms of Use.

 

Article 14.   Personal Information

  1. Our Company and Registered User shall duly and properly collect, use, manage, preserve or provide the third parties with the Personal Information obtained by the Service, in accordance with the Act on the Protection of Personal Information and its guidelines, etc.

  2. Performing Users and their Model Members shall approve the use and providing of the Personal Information included in the Registered Information and/or Profile Information by Our Company to Recruiting User, and by Recruiting User to the third parties, such as their clients of the Individual Agreement for the use of this Service and the formation, implementation, and management of Individual Agreement.

  3. Our Company, Recruiting User and any third parties received Personal Information from Recruiting User shall manage the information properly without leakage or usage for purposes other than specified.

  4. For the improvement of Service, Our Company may aggregate the Registered Information and/or Profile Information or provide them to the third party for statistical analysis with the manner and extent not to be able to identify a specific individual.

 

Article 15.  Prohibitions

  1. In using the Service, Registered User shall not, whether intentionally or negligently, conduct the following activities (including those which threatens to fall under or induces the following activities):

    1. Activities which violate laws, regulations or public policy;

    2. Activities which obstruct the operation of Our Company’s business or the Service, or damage the trust of Our Company;

    3. Activities which destroy or prevent the function of software or hardware, which Our Company or third parties use;

    4. Activities which destroy or prevent the function of Our Company’s server or network;

    5. Activities which obstruct Our Company’s Service, the advertisements delivered by Our Company, or the Service or advertisement provided on the Our Company’s Website;

    6. Activities which damage the  honor or trust, insult or obstruct the business of any third parties;

    7. Activities which infringe Our Company’s or any third party’s intellectual property rights such as copyrights, trademark rights, patent rights, utility model rights, and design rights;

    8. Activities which infringe Our Company’s or third party’s property, privacy, moral rights or image rights;

    9. Business activities which Our Company does not approve or activities aiming at providing the profit-oriented information;

    10. Activities such as contracting the same or directly competing project as the requested work outside of this Service, without Our Company’s approval;

    11. Describing the false or incorrect information in the Registered Information and/or Profile Information or other notification to Our Company;

    12. Describing telephone number, email address or any other contact info in the Profile Information;

    13. Collecting or accumulating the third party’s or the Registered Information and/or Profile Information without permission;

    14. Using the Service with the third party’s ID & Password;

    15. Obtaining any third party’s ID & Password or disclosing the ID & Password to the third party, regardless of the methods;

    16. Using the Service for the purposes different from the original purpose;

    17. Activities related to the Service which are suspected of having financial, business or other relationship with the Anti-social Forces;

    18. Without reasonable excuse, non-performance of the obligations under the Terms of Use or the activities that are unlikely to perform the obligations;

    19. Activities which cause or threaten to cause material harm to Our Company;

    20. Criminal activities or any conduct that warns, involves or promotes such criminal activities;

    21. Activities which are similar to those stipulated in the foregoing items of this Article 15.1; or

    22. Other activities which Our Company finds to be inappropriate.

  2. In the event that Our Company determines that Registered User breaches the foregoing Article 15.1, Our Company shall be entitled to suspend their use of Service, cancel their Registration, instantly terminate the Terms of Use without notification, and/or take other measures found to be reasonable by Our Company.

  3. Our Company shall not take any responsibility for taking or not taking the measures stipulated in the foregoing Article 15.2.

 

Article 16.   Rights concerning Service

  1. Patent rights, utility model rights, trademark rights, copyrights (including those stipulated in Article 27 and Article 28 of the Japanese Copyright Act), know-how and other rights (including rights to register these rights) shall be borne by Our Company or the third parties who grant license to Our Company.

  2. Without obtaining the prior written consent of Our Company, Registered User shall not reprint or diverse the information concerning the Service in other media.

 

Article 17.  Deregistration

Registered User may terminate the Service with a notification to Our Company; however, may not terminate the Service while there are Individual Agreements in force for such Registered Users. 

Article 18.  Elimination of the User Registration

  1. Our Company shall be entitled to eliminate the User Registration concerning the said Registered User at any time without prior notice, if the Registered User:

    1. breaches the Terms of Use;

    2. causes technical or operational issues on our Service;

    3. fails, rejects, or delays the fulfillment of any obligations toward Our Company (including obligations other than the ones described in Terms of Use);

    4. registers to Registered Information and/or Profile Information or submits documents to our Company with false, unreal information;

    5. is filed a petition for seizure, provisional seizure, auction, commencement of bankruptcy proceedings or commencement of civil rehabilitation proceedings, etc.;

    6. dishonors the bill or check;

    7. if suspends any payments or becomes insolvent;

    8. if is dissolved notwithstanding the merger;

    9. loses contact with Our Company for two months or more;

    10. has not responded to the inquiry or other contact from Our Company (including the situation that the said Registered User does not receive the notification from Our Company) for two weeks or more;

    11. communicates with, sustains, or assists the operation of any Anti-Social Force through the providence of capitals and any other forms; or

    12. is in the situations which Our Company determines reasonably to be difficult to continue the provision of Service.

  2. In the event that the Registration is eliminated pursuant to the foregoing Article, the Registered User shall lose all the rights concerning the Service of its own when Our Company eliminates the Registration.

  3. In spite of the preceding Paragraph, if the party with their Registration eliminated is involved in an existing Individual Agreement, the other party of the agreement reserves the right to maintain or terminate the Individual Agreement in accordance with the other party’s optional selection.

  4. Our Company shall not be liable for or accept any question or complaint concerning: Our Company’s conduct of taking or not taking the measures stipulated in Article 18.1; and the Registered User’s loss of rights stipulated in the foregoing Article 18.2. Registered User may not challenge the company's decision and may not claim any and all compensation for damages.

 

Article 19.  Suspension, Changes, and Termination of Service

  1. If Our Company determines that any situations fall under any of the following items, Our Company shall be entitled to suspend all or part of the Service:

    1. If the network or server is required to conduct the periodic maintenance, update, emergency maintenance;

    2. If it is or might be difficult to provide the Service due to the server failure or any force majeure such as fire, blackout or natural disasters, etc.;

    3. The occurrence of issues disrupting the smooth implementation of the Service such as the System error, breakdown, failures of server or other systems related to the Service;

    4. The unavoidable situations for maintaining the smooth operation of the Service; or

    5. Other situations which Our Company determines to require the temporary suspension of the Service due to any operational or technological reasons or emergent situations.

  2. In the case referred to the foregoing Article 19.1, Our Company shall, in its prescribed method, notify the Registered User of the suspension in advance; however, Our Company may grant the notification subsequently in urgent cases.

  3. Our Company may change and terminate the contents and specifications of the Service without the approval of the Registered User.

  4. Our Company shall not be liable to the Registered User or other third parties for Our Company’s conduct of taking or not taking the measures stipulated in Article 19.1.

 

Article 20.   Change of Service

  1. Our Company may revise the Terms of Use at any time in Our Company’s sole discretion without prior notice to the Registered Users. When the change meets the requirements in Paragraph 4 (1) of Article 548 of the civil law, Our Company shall decide the effective date, and notice the revised content and its effective date to Registered User on Our Company’s website. Under such circumstances, the revised Terms of Use shall apply to all Registered User on its effective date without the consent from any individual Registered User.

  2. When the change does not meet the requirement described in the preceding Paragraph, the revised Terms of Use shall be regarded as agreed by Registered Users upon the first login after the change of the Terms of Use.

 

Article 21.   Confidentiality

Our Company and Registered User shall use, the other party’s operational and technological information disclosed or discerned regarding the Service (“Confidential Information”) only for the purpose of such disclosing, hold it in strict confidence, and not disclose or indulge it to any third parties without the other party’s prior written approval; however, this shall not apply to any of the following items:

  1. the information that is already known to the public or that the recipient has already owned at the point of discovery;

  2. the information that is known to the public after being disclosed through no fault of the parties;

  3. the information that is duly obtained from the authorized third party without confidentiality obligations;

  4. the information that is uniquely developed without the disclosed information;

  5. the information disclosed to third parties without being obliged to keep in confidence by other party;

  6. the information requested to disclose by court or other governmental agencies based on the laws.

 

Article 22.   Subcontract

In providing the Service and performing Individual Agreement, Our Company shall be entitled to subcontract all or part of Our Company’s business to any third party without notification to or approval of Registered User.

 

Article 23.   Damages

Registered User shall, regardless of whether there is any matter attributable to the Registered User, indemnify or compensate for damages and expenses (including, but not limited to all the litigation costs, attorney fees and the expenses required to recover the trust)incurred to Our Company or any third party due to the reason that the Registered User has conducted the prohibited activities stipulated in Article 18.1 or breached the Terms of Use or, Individual Agreement, etc.

 

Article 24.   No Assignment

Registered User shall not assign or delegate to third parties, or dispose the rights and obligations based on the Terms of Use and Individual Agreement or the status based on the Terms of Use and Individual Agreement.

Article 25.   Governing Law

All matters arising out of or relating to the Terms of Use shall be governed by laws and regulations which are effective in Japan.

 

Article 26.   Jurisdiction

Any legal suit, action, or proceeding arising out of, or related to, the Terms of Use, Individual Agreement and the Service shall be instituted to the exclusive jurisdiction of the Tokyo District Court or the Tokyo Summary Court in the first instance.

นโยบายความส่วนตัว

บริษัท แคสเทค โตเกียว จำกัด ("บริษัทฯ") กำหนดนโยบายความเป็นส่วนตัวนี้เพื่อเป็นบรรทัดฐานในการจัดการและดำเนินการอย่างเหมาะสมกับข้อมูลส่วนตัวในครอบครองภายใต้บริการที่บริษัทฯ เป็นผู้ให้บริการ ("บริการของเรา") และบริษัทฯ จะดำเนินการให้พนักงานตระหนักถึงความสำคัญของนโยบายนี้

1. ข้อมูลส่วนบุคคล

"ข้อมูลส่วนบุคคล" หมายถึง ข้อมูลที่อยู่ภายในบริการของเรา ที่สามารถใช้ระบุตัวบุคคล ได้แก่ ชื่อนามสกุล วันเดือนปีเกิด ที่อยู่ เบอร์โทรศัพท์ ที่อยู่อีเมล รูปภาพหรือภาพเคลื่อนไหวของบุคคล หรืออื่นๆ ที่มีข้อมูลในลักษณะเดียวกัน

2. วัตถุประสงค์ในการเก็บรวบรวมและใช้ข้อมูลส่วนบุคคล

บริษัทฯ ทำการเก็บรวบรวมและใช้ข้อมูลส่วนบุคคลเพื่อวัตถุประสงค์ต่อไปนี้

  1. เพื่อให้บริการบริการของเรา

  2. เพื่อจัดการสภาพแวดล้อมให้สามารถใช้บริการของเราได้อย่างปลอดภัย

  3. เพื่อดำเนินการบริหารและจัดการการให้บริการขิงเรา

  4. เพื่อตรวจสอบ เก็บข้อมูล ดำเนินการวิจัยและพัฒนาเกี่ยวกับบริการของเรา

  5. เพื่อแนะนำสินค้าและบริการของบริษัทฯ

  6. เพื่อให้บริษัทฯ ทำการติดต่อผู้ใช้งานเมื่อจำเป็น

  7. เพื่อวัตถุประสงค์อื่นๆ ที่บริษัทฯ และผู้ใช้งานเห็นสมควรร่วมกัน

  8. วัตถุประสงค์อื่นๆ ที่เกี่ยวข้องกับ 2.1 ถึง 2.7

3. การใช้และเปิดเผยข้อมูลส่วนบุคคล

  1. บริษัทฯ จะไม่ทำการเปิดเผยข้อมูลส่วนบุคคลของผู้ใช้งานแก่บุคคลที่สาม เว้นแต่ในกรณีต่อไปนี้

    1. กรณีที่ผู้ใช้หรือผู้มีอำนาจแทนผู้ใช้ยินยอม

    2. กรณีที่การกระทำนั้นเห็นชอบด้วยกฎหมาย

    3. กรณีที่จำเป็นเพื่อปกป้องร่างกาย ชีวิตและทรัพย์สิน เมื่อเป็นไปได้ยากที่จะขอความยินยอมจากผู้ใช้งาน

    4. กรณีที่บริษัทฯ เห็นชอบว่าบุคคลที่สามสามารถจัดการกับข้อมูลส่วนบุคคลตามเงื่อนไขและข้อตกลงได้

    5. กรณีที่บริษัทฯ มีการเปลี่ยนแปลงกิจการ โดยการควบรวม แบ่งแยก โอนย้ายหรืออื่นๆ

  2. บริษัทฯ อาจเห็นสมควรให้เปิดเผยข้อมูล เช่น ชื่อนามสกุล ที่อยู่ เบอร์โทรศัพท์ของผู้ใช้งานแก่บริษัทในเครือหรือตัวแทนเพื่อทำการให้บริการหรือตอบกลับการติดต่อสอบถามจากผู้ใช้ โดยไม่เกี่ยวข้องกับข้อ 3.1 ข้างต้น ในกรณีนี้ผู้ใช้งานสามารถขอให้บริษัทฯ หยุดการเปิดเผยข้อมูลส่วนตัวแก่บริษัทดังกล่าวได้

4. การสอบถามเกี่ยวกับข้อมูลส่วนบุคคล

หากมีข้อสงสัยเกี่ยวกับการเปิดเผย แก้ไข หรือลบข้อมูลส่วนตัว สามารถสอบถามบริษัทฯ ได้ผ่านแบบฟอร์มสอบถามข้อมูลเพิ่มเติม

5. อื่นๆ

  1. การเข้าถึงข้อมูล
    บริษัทฯ อาจมีการเก็บข้อมูลการเข้าถึง (Access log) บริการของเราของผู้ใช้เพื่อนำมาปรับปรุงและพัฒนาบริการให้ดียิ่งขึ้น ทั้งนี้การเก็บข้อมูลเหล่านั้นไม่ได้มีจุดประสงค์เพื่อระบุข้อมูลส่วนตัวของผู้ใช้แต่อย่างใด

  2. เกี่ยวกับเว็บคุกกี้
    บริษัทฯ มีการใช้คุกกี้ในบางส่วนของเว็บไซต์เพื่อให้ผู้ใช้งานสามารถใช้งานได้อย่างสะดวกยิ่งขึ้น และบริษัทฯ ไม่ถือว่าคุกกี้หรือไอพีแอดเดรสเหล่านั้นเป็นข้อมูลส่วนตัว เนื่องจากลำพังข้อมูลเหล่านั้นไม่สามารถใช้ระบุตัวตนผู้ใช้ได้ อย่างไรก็ตามผู้ใช้สามารถปฏิเสธการใช้คุกกี้ได้โดยทำการตั้งค่าในบราวเซอร์ที่ใช้
